MSCI Downgrade Risk Creates Urgent Sell-Side Mandates as JCI Tests 4,997

Indonesia's benchmark JCI closed at 4,997 after Monday's 5.4% plunge, extending Friday's 12% rout on MSCI's two-step downgrade warning. Goldman Sachs estimates a full EM index removal could trigger US$5.6 billion in passive outflows, equivalent to 18 days of average daily trading volume for MSCI Indonesia constituents. The 10-year bond yield jumped 12 basis points to a four-month high while the rupiah trades at Rp17,943, compounding foreign investor exit pressure.

For M&A advisers, this dislocation creates a narrow window for take-private and strategic block trade mandates. Listed Indonesian corporates with strong domestic fundamentals but depressed multiples become targets for regional strategics and sovereign-linked funds seeking control premiums at cycle lows. JBP should prioritise outreach to family-controlled issuers facing index exclusion, where privatisation or strategic stake sales offer valuation certainty ahead of further passive selling.

MY PERSPECTIVE

JBP Advisory Angle: MSCI exclusion risk opens take-private and strategic block mandates for listed Indonesian issuers trading at distressed multiples, with a 4-6 week window before index committee decisions crystallise.

SOVEREIGN WEALTH & STATE-LINKED DEALS

SOVEREIGN WEALTH

Danantara-INA Close Chandra Asri Investment, Signalling Sovereign Co-Investment Template

Danantara Investment Management and Indonesia Investment Authority completed a strategic investment in Chandra Asri's CA-EDC project, per Bisnis reporting on October 16. The transaction establishes a replicable co-investment structure pairing the sovereign wealth fund with INA for large-scale industrial projects. Danantara's philanthropic arm also announced a Rp1.79 trillion annual fund, indicating broadening mandate scope beyond pure infrastructure.

This template creates advisory opportunities for mid-market industrial and petrochemical players seeking sovereign anchor capital. JBP should map Danantara and INA's sector priorities against private clients with capex-intensive expansion plans, positioning co-investment structuring and minority stake advisory as entry points. The sovereign pairing reduces execution risk for foreign co-investors and opens syndication mandates for deals in the US$200-500 million range.

MY PERSPECTIVE

JBP Advisory Angle: The Danantara-INA co-investment template creates syndication and minority stake advisory mandates for industrial clients seeking sovereign anchor capital in capex-heavy projects.

SOUTHEAST ASIA PRIVATE EQUITY & FDI

FOREIGN DIRECT INVESTMENT

Vietnam FDI Surges 55% to US$40.6bn, Pressuring Indonesia's Regional Share

Vietnam registered US$40.6 billion in FDI in the first eight months of 2026, up 55.4% year-on-year, with disbursements reaching US$17.25 billion, the highest in five years, according to Vietnam.vn. The OECD notes Southeast Asia ex-Singapore inward FDI stocks have risen from 40% to 60% of GDP over the past decade, but Indonesia faces regulatory restrictions above OECD averages in real estate, construction, transport, telecom, media and finance.

For JBP, Vietnam's momentum sharpens the case for Indonesia-focused sell-side mandates targeting regional strategics who are comparing allocation between the two markets. Advisers should prepare sector-specific investment cases for Indonesian assets in restricted sectors where regulatory easing is plausible, positioning clients ahead of any BKPM or OJK reform announcements. Cross-border JV structuring between Vietnamese and Indonesian sponsors also emerges as a fee opportunity.

MY PERSPECTIVE

JBP Advisory Angle: Vietnam's FDI surge creates urgency for Indonesia sell-side mandates, with cross-border JV structuring between Vietnamese and Indonesian sponsors as a new fee pool.

PRIVATE CREDIT & DISTRESSED DEBT

PRIVATE CREDIT

Private Credit Stress Masks 5.8% True Default Rate, Opening Distressed M&A Pipeline

Moody's reports the default rate among 607 private credit borrowers stood at 4% in the 12 months to June, rising to 5.8% when payment-in-kind amendments and maturity extensions are counted as distressed exchanges, per Bloomberg. Separately, CoreWeave's bonds fell to distressed levels with credit default insurance at approximately 1,200 basis points, testing private credit's US$50 billion AI infrastructure exposure, Reuters reported October 16.

Rising PIK usage and maturity walls in private credit portfolios create a distressed M&A pipeline for Indonesian and SEA assets held by regional credit funds. JBP should engage private credit managers with Indonesian exposure on exit alternatives, including secondary sales, recapitalisations, and strategic divestitures of underperforming portfolio companies. The 5.8% true default rate signals a 2027 vintage of distressed sale mandates.

MY PERSPECTIVE

JBP Advisory Angle: Private credit stress and PIK-masked defaults create a 2027 distressed M&A pipeline, with secondary sale and recapitalisation mandates for credit funds holding Indonesian assets.

GLOBAL M&A & MACRO

GLOBAL M&A

Global M&A Hits US$3.9tn but Q3 Slows to US$993bn, Signalling Selective Deal Flow

Global M&A activity reached US$3.9 trillion in the first nine months of 2026, up 28% year-on-year, but Q3 slipped to US$993.4 billion, below the US$1 trillion mark, per Investment Executive. The US accounted for US$2 trillion (up 38%), Europe rose 54%, and Asia-Pacific grew only 11%. Notably, 57 mega deals represent US$1.4 trillion of the year-to-date total, indicating concentration in large-cap transactions.

Asia-Pacific's underperformance relative to US and Europe creates a competitive opening for Indonesia-focused advisers. With the DXY at 101.78, US 10-year yields at 5.120%, and WTI at US$98.44, global capital remains expensive, favouring domestic and regional consolidators over leveraged cross-border buyers. JBP should position mid-market Indonesian assets to Asia-Pacific strategics and sovereign funds less sensitive to dollar funding costs, targeting the US$50-300 million deal band where mega-deal concentration leaves white space.

MY PERSPECTIVE

JBP Advisory Angle: Asia-Pacific's 11% M&A growth lag versus US and Europe creates white space for Indonesian mid-market mandates targeting regional strategics and sovereign funds less exposed to US dollar funding costs.

That is all for today. If any of these stories opens a door for your business, I am happy to talk through the implications.

Warm regards,
