INDONESIA DEAL ACTIVITY

INFRASTRUCTURE M&A

Khazanah Divests Cipali Toll Stake to CPPIB and Astra Infra

Khazanah Nasional is selling its entire 55% stake in PT Lintas Marga Sedaya, the concession holder of the Cikopo-Palimanan toll road, to the Canada Pension Plan Investment Board and PT Astra Tol Nusantara. The transaction marks one of the largest Indonesian infrastructure exits this year and signals continued appetite from long-horizon institutional capital for stable, yield-generating toll assets.

The deal comes as the JCI sits at 6,058 and the rupiah trades at Rp17,874 per USD, a combination that continues to shape cross-border pricing dynamics. CPPIB's entry alongside Astra Infra suggests a model where global pension capital pairs with domestic operators to manage regulatory and operational complexity in Indonesian infrastructure.

MY PERSPECTIVE

JBP Advisory Angle: This exit creates a template for other concession holders evaluating partial or full divestments to institutional buyers, and advisory mandates will likely centre on structuring consortiums that blend foreign capital with local operating partners.

INDUSTRIAL ESTATE M&A

Jababeka Acquires 51% of Seafer Industrial Estate in Kendal

PT Kawasan Industri Jababeka Tbk has acquired a 51% stake in PT Kawasan Industri Seafer for Rp340.86 billion, expanding its industrial estate footprint into Central Java. The acquisition reflects rising demand for industrial land outside Greater Jakarta as manufacturers diversify their supply chain locations.

With WTI crude at USD 90.57 per barrel and global trade patterns continuing to shift, industrial estate operators are positioning for tenants seeking alternative production bases. The Kendal corridor has attracted significant investment in recent years, and this transaction consolidates Jababeka's position as a multi-region player.

MY PERSPECTIVE

JBP Advisory Angle: Industrial estate consolidation is creating advisory openings for mid-market landowners and regional developers seeking either partial exits or joint-venture partnerships with established operators.

PRIVATE EQUITY AND CAPITAL FLOWS

PRIVATE EQUITY EXIT

KV Asia Exits Victoria Care in USD 70 Million Buyback

Singapore-based KV Asia Capital has sold its entire 25% stake in PT Victoria Care Indonesia back to the company's controlling shareholder for approximately USD 70 million. The exit, five years after entry, represents a clean sponsor-to-strategic transition in Indonesia's consumer and personal care sector.

The buyback structure, rather than a trade sale or secondary to another sponsor, reflects both the controlling family's commitment to the asset and the current valuation environment. With gold at USD 4,200 per ounce and global markets volatile, sponsors are weighing exit routes carefully.

MY PERSPECTIVE

JBP Advisory Angle: Family-controlled buybacks are becoming a viable exit channel for sponsors in Indonesia, and advisory firms with relationships on both the sponsor and family-office sides are well-positioned to originate these bilateral transactions.

GLOBAL CONTEXT FOR INDONESIAN DEALMAKERS

GLOBAL M&A TRENDS

Global M&A Reaches USD 4.44 Trillion Through First Nine Months

Global M&A volume reached USD 4.44 trillion in the first nine months of 2026, with AI infrastructure driving megadeals and equity capital markets surpassing USD 1 trillion in issuance. The pace, while slowing in the third quarter, remains near record levels seen in 2021.

For Indonesian dealmakers, the global backdrop of abundant capital and technology-driven consolidation creates both competitive tension for assets and partnership opportunities. The S&P 500 at 7,765.36 reflects continued US market strength, while emerging market outflows of USD 26.3 billion in September signal that capital allocation decisions are becoming more selective.

MY PERSPECTIVE

JBP Advisory Angle: Indonesian technology and infrastructure assets with AI-adjacent applications are likely to attract increased inbound interest, creating sell-side and partnership advisory opportunities for owners with credible growth narratives.

That is all for today. If any of these stories opens a door for your business, I am happy to talk through the implications.

Warm regards,

Akmal Adrianza
