INDONESIA MARKET

CAPITAL MARKETS

MSCI Warning Triggers Sharpest IDX Decline Since 1998

The Indonesia Stock Exchange experienced a severe sell-off on Friday after MSCI proposed a double-downgrade of Indonesia to standalone market status. The Jakarta Composite Index plunged 8.01 percent, triggering a trading halt, with the four largest banks falling between 8.5 and 14 percent. For the week, the market is down approximately 14 percent, reversing previous gains. The rupiah remains under pressure at Rp18,000 per USD amid elevated US yields and foreign portfolio outflows.

The proposed reclassification raises urgent questions about index weighting, passive fund flows, and the cost of capital for Indonesian issuers. Companies considering equity-linked fundraising or cross-border listings may need to reassess timing and structure. The volatility also creates a window for strategic acquirers and private capital to engage with listed companies facing valuation dislocations.

MY PERSPECTIVE

JBP Advisory Angle: This dislocation creates a rare window for take-private and strategic minority transactions involving quality Indonesian issuers, with advisory demand likely to spike over the next two quarters.

GLOBAL M&A TRENDS

GLOBAL DEALMAKING

Global M&A Slows in Q3 After Record First Half

Global M&A value is up approximately 32 percent year-on-year, marking a third consecutive year of expansion, with North America accounting for more than half of global deal value. However, Q3 2026 saw a slowdown correlated to volatility around interest rates and AI, with North American deal value falling approximately 30 percent year-on-year. Despite the quarterly dip, the broader trend remains one of sustained expansion, supported by strong first-half activity and an active summer.

The pullback in Q3 reflects caution rather than retreat. Sponsors and strategic buyers with dry powder are likely to re-engage as rate uncertainty clears, creating a pipeline of opportunities for sellers and acquirers in Southeast Asia. Indonesian assets with strong domestic demand characteristics may attract renewed attention from regional and global buyers seeking diversification.

MY PERSPECTIVE

JBP Advisory Angle: The Q3 slowdown sets up a compressed Q4 and 2027 pipeline, favouring sellers who prepare now for a cross-border process targeting North American and regional strategic buyers.

SOVEREIGN WEALTH & INVESTMENT

SOVEREIGN INVESTMENT

Danantara and INA Complete CA-EDC Project

Danantara Indonesia, the Indonesia Investment Authority (INA), and Chandra Asri have completed the CA-EDC project, a significant downstream chemicals investment. Danantara manages approximately USD900 billion in consolidated state-owned assets and operates as a strategic bridge linking national priority projects with global co-investors, including peer sovereign wealth funds and private equity syndicates. This follows Danantara's USD2.5 billion equity investment into JBS Australia, signed in August 2026.

The completion signals Danantara's capacity to execute large-scale, cross-border transactions and co-invest alongside international partners. For Indonesian business owners in chemicals, energy, and infrastructure, this opens partnership avenues with a sovereign investor actively deploying capital. Advisory opportunities are emerging in structuring co-investment vehicles and preparing assets for sovereign-backed transactions.

MY PERSPECTIVE

JBP Advisory Angle: Danantara's active deployment creates a mandate pipeline for advisers who can structure co-investment platforms and prepare mid-market Indonesian assets for sovereign-backed transactions. To discuss the implications for your business, contact JBP at contact@jbp.co.id

That is all for today. If any of these stories opens a door for your business, I am happy to talk through the implications.

Warm regards,
