INDONESIA MARKET SHOCK

INDONESIA CAPITAL MARKETS

MSCI Double-Downgrade Warning Triggers JCI Plunge, Opening Distressed and Take-Private Mandates

Indonesia's equity market suffered its sharpest single-day fall since 1998 after MSCI proposed double-downgrading the country to standalone market status, sending the JCI plunging 8.01% to 5,226 and triggering a trading halt. The four largest banks tumbled between 8.5% and 14%, while Telkom Indonesia fell 11.7%, Astra International 9.6% and Jasa Marga 14.8%. IDX has stated it will seek clarification from MSCI, but the immediate damage is done: markets are down roughly 14% for the week.

This dislocation creates immediate advisory openings. Blue-chip valuations at multi-year lows make take-private and strategic consolidation conversations viable for cash-rich conglomerates and regional PE funds. Simultaneously, margin-stressed listed companies will need rescue financing, rights issue structuring and liability management advice. With USD/IDR at Rp18,000 and US 10Y yields at 5.090%, offshore capital is expensive but selective dry powder will move fast on quality assets.

MY PERSPECTIVE

JBP Advisory Angle: Position the desk for take-private mandates on oversold IDX blue chips and rescue-financing advisory for margin-stressed issuers ahead of MSCI clarification in coming weeks.

SOVEREIGN WEALTH & REGIONAL CAPITAL

SOVEREIGN WEALTH / OUTBOUND M&A

Danantara's USD2.5bn JBS Australia Stake Signals Outbound Appetite for Food Security Platforms

Danantara, Indonesia's sovereign wealth fund managing approximately USD900 billion in consolidated state-owned assets, is acquiring an initial 9.64% interest in a new Dutch HoldCo, JBS Australia Holding Company, as part of a landmark USD2.5 billion equity investment signed August 7, 2026. The partnership targets stronger protein supply chains and future growth across Southeast Asia, with JBS Group, the world's largest meat processor, as counterparty.

The deal confirms Danantara's willingness to deploy sovereign capital into cross-border food and protein platforms — a template likely to repeat across agriculture, cold chain and downstream food processing. Advisers should map Indonesian conglomerates and BUMN subsidiaries with protein and agri exposure as potential co-investors or follow-on targets. The Bali Asia Forum targeting a USD30 billion investment drive reinforces the pipeline.

MY PERSPECTIVE

JBP Advisory Angle: Target sell-side and co-investment mandates from Indonesian agri-food groups seeking Danantara-aligned cross-border partnerships in protein and cold chain.

GLOBAL M&A CYCLE

GLOBAL M&A OUTLOOK

Q3 Global M&A Value Falls 30% YoY in North America, Reshaping 2027 Deal Pipelines

North American M&A deal value fell approximately 30% year-on-year in Q3 2026, the lowest since Q4 2024, though deal count declined by less than 5%, according to PitchBook data cited by Calabasas Capital. Globally, M&A value remains up roughly 32% year-on-year across the first three quarters, with North America accounting for more than half of global deal value. The Q3 slowdown is attributed to volatility around interest rates and AI.

For Indonesian and SEA dealmakers, the divergence matters: fewer mega-deals in the US frees mid-market PE and strategic capital to look at Asia. With S&P 500 at 7,744 and DXY at 101.84, regional sponsors face a stronger dollar but improving relative valuations in Indonesia post-selloff. Expect inbound interest in Indonesian healthcare, digital infrastructure and consumer platforms in Q4 2026 and H1 2027.

MY PERSPECTIVE

JBP Advisory Angle: Build a Q4 2026 inbound mandate pipeline targeting US and European mid-market sponsors rotating capital from a stalled North American deal market into Indonesian mid-cap assets.

PRIVATE CREDIT & DISTRESSED

PRIVATE CREDIT / DISTRESSED DEBT

IMF Flags USD2 Trillion Private Credit Stress, Opening Restructuring Advisory in Emerging Markets

The IMF has flagged emerging threats to the global economy as private credit balloons to USD2 trillion, warning that loan amendments and extensions defer risk recognition while dividend recapitalizations transfer liquidity to investors instead of strengthening businesses. Of ten large business development companies examined, four, representing USD90 billion in assets, had borrower commitments exceeding available liquidity buffers. JPMorgan's Jamie Dimon has separately warned private credit losses will exceed expectations in the next downturn.

For Southeast Asia, this signals a coming wave of distressed and special-situations mandates. Indonesian borrowers with USD-denominated private credit exposure face a double squeeze from Rp18,000/USD and elevated US 10Y yields at 5.090%. Advisers should prepare restructuring, PKPU and liability-management capabilities for mid-market corporates with offshore credit facilities maturing in 2027.

MY PERSPECTIVE

JBP Advisory Angle: Stand up a special-situations desk targeting Indonesian mid-market borrowers with offshore private credit maturities, offering restructuring and refinancing advisory ahead of 2027 wall.

SOUTHEAST ASIA DEAL FLOW

SEA FINTECH / IPO

GCash Parent Mynt's USD1.5bn IPO at USD10.7bn Valuation Sets SEA Fintech Benchmark

Philippines' Globe Fintech Innovations (Mynt), operator of super app GCash, is raising USD1.5 billion at a USD10.7 billion valuation with an expected IPO listing on October 20, 2026. Mynt was founded in 2015 as a fintech joint venture by Globe Telecom, Ayala Corporation and Ant Financial. The deal has scaled up from earlier plans of USD1 billion at USD8 billion valuation, reflecting strong regional demand for scaled fintech platforms.

This IPO re-rates the entire SEA fintech comparables set, with direct read-across to Indonesian digital financial assets including GoTo, Bank Jago and OJK-licensed payment and lending platforms. Advisers should use the Mynt benchmark to reopen valuation conversations with Indonesian fintech founders and their PE backers, many of whom have deferred exits since 2023. Expect pre-IPO and secondary mandates to accelerate into Q1 2027.

MY PERSPECTIVE

JBP Advisory Angle: Leverage the Mynt valuation benchmark to originate pre-IPO and secondary mandates from Indonesian fintech shareholders seeking exits at re-rated multiples.

That is all for today. If any of these stories opens a door for your business, I am happy to talk through the implications.

Warm regards,
