GLOBAL M&A & DEAL ENVIRONMENT

GLOBAL M&A

Global M&A cools in Q3 after record start, but Indonesia’s Danantara deal pipeline stays hot

Global M&A deal value fell 21% year-over-year in September, rounding out a subdued Q3 after a record-breaking start to 2026. Despite the slowdown, Indonesia’s sovereign wealth fund Danantara is advancing a USD2.5bn equity investment in JBS Australia, a landmark cross-border food security deal that underscores Indonesia’s outbound appetite.

For Indonesian clients, the global cooling means less competition for quality assets and more room to negotiate. The Danantara-JBS deal signals that Southeast Asian sovereign capital is now a credible counterparty for large-cap international transactions.

MY PERSPECTIVE

JBP Advisory Angle: Advise Indonesian conglomerates and sovereign funds on outbound acquisition strategies in food security and protein supply chains, leveraging the Danantara-JBS template to structure similar cross-border deals.

SOUTHEAST ASIA FDI & PRIVATE EQUITY

SEA FDI

ASEAN FDI hits record $226bn as China Plus One accelerates, creating sell-side mandates

ASEAN FDI inflows reached USD226bn in 2024, up 8.5% while global FDI fell 11%, according to the ASEAN Investment Report 2025. Indonesia alone drew USD133bn in greenfield FDI over five years to 2025, a 34% increase, as multinationals diversify supply chains away from China.

The surge is creating a deep pipeline of mid-market Indonesian companies in manufacturing, logistics, and resources that are now strategic targets for regional and global acquirers. With USD/IDR at Rp18,000, foreign buyers gain currency advantage, while domestic sellers face a narrowing window before valuations adjust.

MY PERSPECTIVE

JBP Advisory Angle: Position JBP to originate sell-side mandates for Indonesian family-owned manufacturers and logistics firms seeking strategic partnerships with China Plus One relocators.

INDONESIA CAPITAL MARKETS & REGULATORY RISK

INDONESIA CAPITAL MARKETS

MSCI downgrade threat triggers outflows, but distressed assets open opportunistic M&A window

MSCI has proposed downgrading Indonesia from emerging-market status, citing stock manipulation and weak enforcement, a move that could trigger further foreign outflows from a market already under pressure. The JCI has slumped to 5,185, and the rupiah trades at Rp18,000, reflecting heightened risk aversion.

While the downgrade poses near-term challenges, it also creates a buyer’s market for strategic acquirers and private equity funds looking to acquire Indonesian assets at depressed valuations. Sectors with strong domestic demand, such as healthcare and consumer staples, remain attractive.

MY PERSPECTIVE

JBP Advisory Angle: Advise distressed Indonesian listed companies and their sponsors on take-private and restructuring options, and help regional PE funds source off-market deals at attractive entry multiples.

PRIVATE CREDIT & DISTRESSED OPPORTUNITIES

PRIVATE CREDIT

Private credit stress rises as CoreWeave debt hits distressed levels, signaling refinancing opportunities

Private credit’s exposure to AI infrastructure is being tested as CoreWeave’s bonds fell to distressed levels, with credit default swap spreads widening to 1,200 basis points. Moody’s reports that private credit default rates, including distressed exchanges, reached 5.8% over the 12 months to June 2026, up from 4.0% reported defaults.

For Southeast Asia, the stress in global private credit may lead lenders to tighten terms, creating refinancing gaps for leveraged Indonesian companies. This opens opportunities for alternative lenders and distressed funds to provide rescue financing or acquire debt at a discount.

MY PERSPECTIVE

JBP Advisory Angle: Advise Indonesian borrowers facing 2027 maturities on refinancing alternatives, including private credit funds and distressed debt investors, to avoid default and preserve equity value.

DIGITAL ECONOMY & FINTECH

FINTECH

GCash parent Mynt’s $1.5bn IPO at $10.7bn valuation sets benchmark for SEA fintech exits

Philippines’ Globe Fintech Innovations (Mynt), operator of GCash, is set to raise USD1.5bn at a USD10.7bn valuation in an IPO expected on October 20, 2026. The offering, upsized from an initial USD1bn target, underscores strong investor appetite for Southeast Asian digital financial services despite global market volatility.

The successful listing could unlock exit opportunities for early investors and spur M&A activity in Indonesia’s fintech sector, where several scaled players are backed by regional VCs and strategic investors. The valuation multiple will serve as a key reference for Indonesian fintech valuations.

MY PERSPECTIVE

JBP Advisory Angle: Advise Indonesian fintech shareholders and management teams on pre-IPO structuring, secondary sales, and strategic M&A in anticipation of increased investor interest following the GCash IPO.

That is all for today. If any of these stories opens a door for your business, I am happy to talk through the implications.

Warm regards,
