GLOBAL M&A SLOWDOWN CREATES WINDOW FOR MID-MARKET DEALS

GLOBAL M&A CAPITAL MARKETS

Q3 M&A Slump Opens Advisory Mandates for Indonesian Mid-Market

Global M&A deal value fell 41% quarter-on-quarter to USD 993 billion in Q3 2026, the first sub-trillion quarter since Q2 2025, as rising borrowing costs sidelined mega-deals. Only 10 transactions above USD 10 billion were announced, the fewest since Q4 2024. Yet year-to-date volumes remain up 28% to USD 3.9 trillion, signaling a bifurcated market where mid-market activity is increasingly the engine.

For Indonesian corporates and sponsors, this dislocation creates a timing window: strategic buyers with dry powder face less competition from mega-funds, while sellers seeking exits before potential further rate hikes may accelerate processes. JBP should target mid-market Indonesian assets in consumer, healthcare, and infrastructure where regional strategic acquirers remain active despite the global slowdown.

MY PERSPECTIVE

JBP Advisory Angle: The global mega-deal freeze positions Indonesian mid-market sell-side mandates as scarce, high-conviction opportunities for regional strategics and sponsors seeking resilient ASEAN exposure.

SOUTHEAST ASIA PRIVATE EQUITY EXITS AND ENTRIES SIGNAL ACTIVE MANDATE PIPELINE

SOUTHEAST ASIA PRIVATE EQUITY

CIMB PE's 7-Eleven Indonesia Entry Highlights Consumer Retail Mandates

CIMB Private Equity acquired a 10% stake in PT Modern Internasional Tbk (MDRN), the 7-Eleven Indonesia operator, for approximately USD 25 million via new share subscription. The investment signals continued regional PE appetite for Indonesian consumer retail assets despite rupiah volatility around Rp17,875/USD and elevated global rates.

This deal underscores a live pipeline for JBP: mid-cap Indonesian consumer businesses with strong brand franchises and expansion capital needs. Sponsors like CIMB PE are actively deploying in ASEAN, creating buy-side and sell-side advisory opportunities for family-owned retailers and F&B operators considering partial exits or growth capital partnerships.

MY PERSPECTIVE

JBP Advisory Angle: Regional PE entries into Indonesian consumer retail validate valuation benchmarks and open sell-side mandates for family-owned consumer businesses seeking partial exits or growth partnerships.

SOUTHEAST ASIA PRIVATE EQUITY

KV Asia's USD 70 Million Victoria Care Exit Sets Benchmark for Indonesian Beauty M&A

Singapore-based KV Asia Capital exited PT Victoria Care Indonesia Tbk after five years, selling its 25% stake back to the controlling shareholder for approximately IDR 1.25 trillion (USD 69.9 million). The exit demonstrates viable paths for mid-market PE in Indonesian consumer beauty and personal care, even amid global fundraising tightening and EM outflows of USD 26.3 billion in September.

For JBP, this transaction provides a comparable for founders and sponsors evaluating buyback structures versus third-party sales. It also signals that controlling shareholders may be motivated to consolidate ownership, creating advisory mandates for valuation, financing, and negotiation support on similar Indonesian consumer assets.

MY PERSPECTIVE

JBP Advisory Angle: KV Asia's exit establishes a valuation benchmark and buyback precedent, opening advisory mandates for Indonesian consumer founders and sponsors weighing liquidity options.

INDONESIAN DOMESTIC DEAL ACTIVITY DEFIES GLOBAL HEADWINDS

INDONESIA M&A TRANSACTIONS

INPS and AYLS Acquisitions Show Mid-Cap Indonesian Consolidation Momentum

PT Indah Prakasa Sentosa Tbk (INPS) acquired 90% of PT Tri Satria Indah Motor for IDR 5.8 billion, its first inorganic move post-transformation. Separately, PT Arkayana Lestari Grup Tbk (AYLS) acquired 4,900 shares of PT Global Pacific Indonesia from PT Gunung Daya Permata. These small-cap transactions reflect ongoing consolidation in Indonesian industrial and construction materials sectors.

While deal sizes are modest, the activity signals that listed Indonesian corporates are pursuing strategic bolt-ons despite JCI at 6,193 and foreign net selling. JBP can target mid-cap IDX-listed companies with transformation agendas and fragmented target markets for buy-side advisory mandates, particularly in auto services, construction materials, and industrial distribution.

MY PERSPECTIVE

JBP Advisory Angle: Indonesian listed mid-caps are executing bolt-on acquisitions despite market volatility, creating buy-side advisory mandates for fragmented industrial and consumer sectors.

DISTRESSED DEBT AND RESTRUCTURING PRESSURES BUILD IN REGIONAL CREDIT MARKETS

DISTRESSED DEBT AND RESTRUCTURING

Rising Distressed Loans Signal Restructuring Mandates for Indonesian Corporates

JPMorgan reports deeply distressed US leveraged loans rose to USD 65 billion from USD 40 billion a year ago, the highest since March 2020, with technology the most pressured sector. Simultaneously, EM outflows reached USD 26.3 billion in September as the Fed under Kevin Warsh raised rates, pushing US 10Y yields to 5.280% and DXY to 102.25.

For Indonesia, these global credit stresses may spill into domestic borrowers with USD-denominated debt or tech exposure, especially as USD/IDR holds near Rp17,875. JBP should position for restructuring advisory mandates, including PKPU proceedings, debt-to-equity swaps, and distressed M&A for Indonesian corporates facing refinancing walls in 2027.

MY PERSPECTIVE

JBP Advisory Angle: Global distressed debt build-up and EM outflows create restructuring and distressed M&A mandates for Indonesian corporates with USD debt or tech exposure facing 2027 maturities.

SOVEREIGN WEALTH AND REGULATORY DEVELOPMENTS SHAPE INDONESIAN DEAL ARCHITECTURE

INDONESIA SOVEREIGN WEALTH AND REGULATION

Danantara Consolidation and Cross-Border M&A Guide Highlight Regulatory Complexity

Danantara COO Dony Oskaria reaffirmed the sovereign wealth fund's commitment to transparency and BUMN consolidation, targeting financial report completion this month. Meanwhile, a 2026 cross-border M&A guide emphasizes BKPM/OSS licensing, OJK oversight, and enforcement architecture as critical deal determinants for foreign buyers and PE sponsors.

For JBP, Danantara's consolidation agenda may unlock divestment or partnership mandates across state-owned enterprises, while regulatory complexity creates demand for advisory on deal structuring, arbitration seats, and enforceability of awards against Indonesian assets. Clients navigating cross-border acquisitions should prioritize regulatory due diligence and dispute-resolution planning from the drafting stage.

MY PERSPECTIVE

JBP Advisory Angle: Danantara's consolidation and Indonesia's complex regulatory framework create advisory mandates for BUMN divestments and cross-border deal structuring with enforceable dispute-resolution architecture.

That is all for today. If any of these stories opens a door for your business, I am happy to talk through the implications.

Warm regards,
