INDONESIA DEAL ACTIVITY

INDONESIA M&A

BUMI and INDY Shares Rally on Reported Kideco Jaya Agung Acquisition

Shares of PT Bumi Resources Tbk (BUMI) and PT Indika Energy Tbk (INDY) advanced on October 9 following reports of a planned acquisition of PT Kideco Jaya Agung valued at over USD 1 billion. BUMI management has not confirmed the speculation, though market participants have positioned accordingly. The transaction, if confirmed, would rank among Indonesia's largest coal-sector deals this year.

The JCI closed at 5,885 while the rupiah held at Rp17,894 per USD, reflecting continued investor attention on domestic resource consolidation. Coal remains a core export earner, and transactions of this scale typically involve complex regulatory sequencing across BKPM and OJK.

MY PERSPECTIVE

JBP Advisory Angle: A confirmed Kideco transaction would signal renewed appetite for Indonesian coal asset consolidation, creating advisory mandates for sell-side preparation and buyer-side due diligence across listed and private counterparties.

INDONESIA ENERGY M&A

MedcoEnergi Acquires 10% Participating Interest in Four Kutai Basin Gas Blocks

MedcoEnergi has signed an agreement with Eni to acquire a 10% non-operating participating interest in the Muara Bakau, Ganal, West Ganal, and East Ganal production sharing contracts in the Kutai Basin. The acquisition covers producing, development, and exploration assets, including the Geliga gas discovery, strengthening MedcoEnergi's position in the national LNG supply chain.

The deal reflects continued upstream interest despite WTI crude at USD 92.66 per barrel. Indonesian energy players are positioning for long-term gas demand, with transactions structured around production sharing frameworks that require careful regulatory engagement.

MY PERSPECTIVE

JBP Advisory Angle: Mid-cap upstream acquisitions of non-operated interests create repeatable advisory opportunities for firms with PSC structuring expertise and established relationships across SKK Migas and international oil company counterparties.

REGIONAL PRIVATE EQUITY AND INFRASTRUCTURE

SOUTHEAST ASIA INFRASTRUCTURE

Khazanah Divests 55% Stake in Cipali Toll Concession to CPPIB and Astra Infra

Khazanah Nasional is divesting its entire 55% stake in PT Lintas Marga Sedaya, the concession holder for Indonesia's Cikopo-Palimanan toll road, to the Canada Pension Plan Investment Board and PT Astra Tol Nusantara. The transaction transfers control of one of Indonesia's most strategically located toll assets to a long-horizon institutional investor paired with a domestic infrastructure operator.

The deal underscores sustained global pension fund interest in Indonesian toll road concessions, where predictable cash flows and government-backed tariff frameworks attract infrastructure capital despite currency volatility.

MY PERSPECTIVE

JBP Advisory Angle: This transaction validates Indonesian toll road concessions as institutional-grade assets, opening advisory pathways for sponsors seeking exits and pension funds building domestic infrastructure platforms alongside local operators.

SOUTHEAST ASIA PRIVATE EQUITY

CIMB Private Equity Invests USD 25 Million in 7-Eleven Indonesia Operator

CIMB Private Equity has acquired a 10% stake in PT Modern Internasional Tbk (MDRN), the listed operator of the 7-Eleven convenience store franchise in Indonesia, for approximately USD 25 million via subscription of newly issued shares. Proceeds will fund expansion of the retail network.

The investment signals renewed private equity interest in Indonesian consumer retail, a sector that benefits from domestic consumption growth and remains relatively insulated from global trade disruptions. The transaction structure, involving a listed target and new share issuance, reflects growing sophistication in mid-market PE dealmaking.

MY PERSPECTIVE

JBP Advisory Angle: Mid-market consumer retail investments via listed share subscriptions create advisory demand for deal structuring, regulatory filings, and post-closing integration support across Indonesia's growing convenience and franchise sectors.

SOVEREIGN CAPITAL AND INVESTMENT POLICY

SOVEREIGN WEALTH

Danantara and Egypt's Sovereign Fund Plan Joint Investment Vehicle

Indonesia's Danantara and Egypt's sovereign wealth fund have initiated plans to establish a joint investment fund targeting strategic industrial and infrastructure projects. President Prabowo Subianto confirmed the initiative following bilateral talks, with both nations also advancing an Indonesia-Egypt Economic Partnership Agreement. Danantara manages approximately USD 900 billion in consolidated state-owned assets.

The partnership reflects Indonesia's broader strategy to channel institutional capital into priority sectors, including downstream processing and maritime infrastructure, while diversifying sovereign co-investment relationships beyond traditional partners.

MY PERSPECTIVE

JBP Advisory Angle: The Danantara-Egypt joint vehicle creates a cross-border advisory opening for firms with bilateral infrastructure and industrial networks across North Africa and Southeast Asia, particularly for deal origination and co-investment structuring.

INDONESIA INVESTMENT POLICY

Indonesia Proposes Critical Minerals Partnership with Chile

Indonesia has proposed a critical minerals partnership with Chile covering joint industrial projects, mining technology, and investment. The proposal aligns with Indonesia's downstream processing agenda and its recent launches of nickel- and aluminium-based industrial facilities at Weda Bay, where President Prabowo reaffirmed commitment to protecting foreign investment.

The government is also reviewing tax holidays for mineral processing, signaling a recalibration of incentives as the sector matures. Copper at USD 5.63 per pound and nickel prices remain central to Indonesia's export strategy.

MY PERSPECTIVE

JBP Advisory Angle: A Chile-Indonesia minerals partnership would create advisory mandates for cross-border joint ventures, regulatory navigation across two mining jurisdictions, and structuring of processing facility investments with sovereign and private co-investors.

That is all for today. If any of these stories opens a door for your business, I am happy to talk through the implications.

Warm regards,

Akmal Adrianza
