INDONESIA DEAL ACTIVITY
INFRASTRUCTURE M&A
Khazanah Divests Cipali Toll Stake to CPPIB and Astra Infra
Khazanah Nasional is divesting its entire 55 percent stake in PT Lintas Marga Sedaya, the concession holder of the Cikopo-Palimanan toll road, to the Canada Pension Plan Investment Board and PT Astra Tol Nusantara. The transaction marks one of the largest infrastructure secondary exits in Indonesia this year and signals continued appetite from global pension funds for mature, yield-generating toll assets.
The deal underscores a growing trend of sovereign wealth funds recycling capital from Indonesian infrastructure into newer opportunities, while long-horizon institutional investors step in to hold operating assets. With the JCI at 5,936 and the rupiah at Rp17,913 per USD, foreign investors are weighing currency risk against stable toll revenues.
MY PERSPECTIVE
JBP Advisory Angle: This exit creates a template for other infrastructure holders considering partial divestments, and advisory mandates for secondary stake sales in toll, port, and energy concessions are likely to increase through 2027.
PRIVATE EQUITY
CIMB Private Equity Acquires 10 Percent of 7-Eleven Indonesia Operator
CIMB Private Equity has acquired a 10 percent stake in PT Modern Internasional Tbk, the listed operator of the 7-Eleven franchise in Indonesia, for approximately USD 25 million through a subscription of newly issued shares. The proceeds will support store expansion and working capital as consumer retail recovers.
The investment reflects renewed private equity interest in Indonesian consumer and retail assets, particularly those with strong brand recognition and scalable franchise models. At a time when global equity issuance has surpassed USD 1 trillion, mid-market PE deals in Southeast Asia remain a key route for growth capital.
MY PERSPECTIVE
JBP Advisory Angle: This deal highlights a pipeline of listed Indonesian consumer companies that could benefit from private placements or strategic partnerships, creating advisory opportunities for capital raising and minority stake transactions.
ENERGY M&A
Mudajaya to Acquire 70 Percent of PT Harmoni Energy Indonesia
Malaysia's Mudajaya Corporation has signed a memorandum of agreement to acquire a 70 percent equity interest in PT Harmoni Energy Indonesia for RM18.5 million. PT Harmoni Energy holds a power purchase agreement and is a special purpose vehicle focused on energy projects in Indonesia.
The acquisition adds to a steady flow of inbound Malaysian investment into Indonesia's energy sector, driven by regional power demand and supportive downstream policies. With WTI crude at USD 94.85 per barrel, energy assets remain strategically attractive for both strategic and financial buyers.
MY PERSPECTIVE
JBP Advisory Angle: Cross-border energy acquisitions by Malaysian and other ASEAN corporates present advisory mandates for due diligence, regulatory approvals, and post-deal integration support in Indonesia's power and renewables space.
REGIONAL CAPITAL FLOWS
FOREIGN DIRECT INVESTMENT
Greenfield FDI in Indonesia Rises 34 Percent as China Plus One Continues
Indonesia attracted USD 133 billion in greenfield foreign direct investment over the five years to 2025, a 34 percent increase, according to recent data. The growth is part of a broader shift where investor concerns about China are steering capital toward India and Southeast Asia, with Malaysia seeing a 125 percent surge and Thailand 97 percent.
Indonesia's nickel reserves and downstream industrial policy have been key magnets for EV supply chain investment, while digital infrastructure and consumer sectors also draw interest. The trend supports long-term M&A and joint venture opportunities across manufacturing and resources.
MY PERSPECTIVE
JBP Advisory Angle: This FDI momentum creates a strong pipeline for cross-border M&A and joint venture advisory, particularly for clients in nickel processing, EV components, and digital infrastructure seeking foreign partners or exits.
CROSS-BORDER M&A
Japan M&A Hits All-Time High on Foreign Buyers
Japanese M&A deals reached an all-time high, driven by a 20 percent increase in inbound transactions from overseas investment firms. Japanese companies are also unwinding USD 56 billion in cross-shareholdings, the second-most on record, creating a wave of divestiture opportunities.
This corporate governance reform trend is reshaping Japan's deal landscape and opening doors for Southeast Asian acquirers and investors looking to acquire non-core assets or form partnerships. The record global M&A volume of USD 2.8 trillion in the first half of 2026 provides a supportive backdrop.
MY PERSPECTIVE
JBP Advisory Angle: Indonesian corporates and funds seeking outbound opportunities should note Japan's divestiture wave, which offers a rare window to acquire technology, manufacturing, or brand assets at competitive valuations.
MACRO & FX
US Dollar Index at 102.4 Keeps Pressure on Emerging Market Currencies
The US Dollar Index closed above 102.4, maintaining pressure on emerging market currencies including the rupiah, which trades at Rp17,913 per USD. Elevated oil prices at USD 94.85 per barrel add to imported inflation concerns for Indonesia, though they also support energy export revenues.
Bank Indonesia's benchmark rate remains at 5.75 percent, with the central bank balancing currency stability against growth. For dealmakers, the strong dollar environment affects valuation negotiations and financing costs for cross-border transactions.
MY PERSPECTIVE
JBP Advisory Angle: Currency volatility increases the importance of hedging and structured payment terms in cross-border M&A, creating advisory demand for deal structuring and FX risk management support.
POLICY AND REGULATORY WATCH
CAPITAL MARKETS
IDX Raises IPO Requirements Effective October 2026
The Indonesia Stock Exchange issued Directors' Decree No. Kep-00152/BEI/10-2026, effective October 9, 2026, raising entry requirements for IPOs. The changes demand longer operating history and a wider shareholder base, particularly for the Development Board.
Companies planning to list must revisit their timelines and readiness. The stricter rules aim to improve listing quality and investor protection, but may delay some offerings and shift attention to alternative capital raising routes such as private placements and rights issues.
MY PERSPECTIVE
JBP Advisory Angle: The new IPO threshold creates opportunities for advisory firms to guide clients through alternative capital raising, including pre-IPO private placements, rights issues, and strategic minority sales.
REGULATORY
Fintech M&A Approvals: OJK and BKPM Sequencing Critical
Recent guidance on fintech M&A in Indonesia highlights the importance of regulatory sequencing, particularly where OJK licences are involved. The approval map for cross-border fintech deals involves at least two regulators, with OJK focusing on ultimate beneficial ownership and fit-and-proper tests for incoming controllers.
Deals that fail to pre-engage regulators risk significant delays. The note also emphasises BKPM registration and foreign ownership ceilings for licence categories, making early regulatory mapping essential for transaction success.
MY PERSPECTIVE
JBP Advisory Angle: Fintech dealmakers should prioritise regulatory due diligence and pre-engagement with OJK and BKPM, creating a niche for advisory firms with proven regulatory navigation experience in Indonesian financial services M&A.
SOVEREIGN WEALTH
Danantara CIO Highlights EV Ecosystem Opportunity
Danantara Indonesia's CIO, Pandu Sjahrir, stated that Indonesia is one of the best markets for EVs today, citing nickel reserves that position the country to build an integrated EV ecosystem spanning processing, batteries, vehicles, and financing. He predicted one in two cars sold in large cities could be electric within five years.
The sovereign wealth fund's focus on downstream industries aligns with recent launches of battery and aluminium projects. This creates a long-term pipeline for M&A and partnership deals across the EV supply chain.
MY PERSPECTIVE
JBP Advisory Angle: Danantara's EV mandate signals a multi-year opportunity for advisory mandates in battery materials, charging infrastructure, and EV financing, particularly for clients seeking strategic partnerships or capital from the sovereign fund.
That is all for today. If any of these stories opens a door for your business, I am happy to talk through the implications.
Warm regards,
Akmal Adrianza
